Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by WinksWeb ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes constitutes acceptance of those changes.

2. Services Description

WinksWeb provides digital services including but not limited to web development, graphic design, UI/UX design, SEO and marketing services, and e-commerce solutions. The specific scope of work will be defined in a separate agreement or proposal for each project.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Payment Terms

Payment terms are as follows:

• A 50% deposit is required to begin work on all projects
• The remaining balance is due upon project completion
• For projects exceeding $5,000, milestone-based payments may be arranged
• All fees are quoted in USD unless otherwise specified
• Late payments may incur a 1.5% monthly service charge

All deposits are non-refundable once work has commenced.

4. Project Timeline

Project timelines will be established in the project agreement. Timelines are dependent on:

• Timely receipt of all required materials and feedback from the client
• Client availability for meetings and approvals
• Scope remaining within the originally agreed parameters

Delays caused by the client may result in project timeline extensions and additional fees.

5. Intellectual Property

Upon full payment, the client will own the final deliverables created specifically for their project. WinksWeb retains the right to:

• Use the work in our portfolio and marketing materials
• Reuse general programming frameworks and code libraries
• Use non-confidential project details for case studies

WinksWeb retains ownership of all pre-existing intellectual property, tools, and methodologies used in the creation of deliverables.

6. Limitation of Liability

To the maximum extent permitted by law, WinksWeb shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the liability.

We do not guarantee that our services will be uninterrupted, timely, secure, or error-free.

7. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• The client remains liable for all work completed up to the termination date
• WinksWeb will deliver all completed work in its current state
• No refunds will be provided for work already completed

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WinksWeb operates, without regard to its conflict of law provisions. Any disputes shall be resolved through good faith negotiation or mediation.

9. Changes to Terms

We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services following any changes constitutes your acceptance of the new terms.
